These Terms of Service ("Terms") govern your access to and use of the products, software, services, and websites (collectively, the "Services") provided by Fluid AI Pte Ltd, a company incorporated in Singapore ("Fluid AI", "we", "our", or "us"). By accessing or using the Services, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, do not use the Services.

1. Definitions

• "Customer", "you", or "your" refers to the individual or entity using the Services.
• "Services" refers to the SaaS platform, AI-powered tools, websites, and any other offerings provided by Fluid AI.
• "Account" means the user account you create to access the Services.
• "Content" means data, information, text, files, or other material inputted, stored, processed, or delivered through the Services.

2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract under Singapore law to use the Services.

3. Account Registration
You must register an Account to use certain features of the Services. You agree to:

• provide accurate and complete information during registration;
• maintain the confidentiality of your Account login credentials; and
• notify us immediately of any unauthorised use of your Account.

You are responsible for all activities conducted through your Account.

4. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• access the Services using automated scripts or bots without explicit permission;
• attempt to reverse-engineer, decompile, or modify the Services;
• use the Services to upload malicious code or disrupt system integrity;
• use the Services to violate any applicable laws or regulations.

5. Customer Data
5.1 Ownership
You retain ownership of all Customer Data uploaded or processed through the Services.
5.2 License to Us
By using the Services, you grant Fluid AI a non-exclusive, worldwide, royalty-free licence to store, process, and transmit Customer Data as necessary to provide the Services.
5.3 Data Protection
Fluid AI complies with Singapore's Personal Data Protection Act (PDPA). Our data protection practices are outlined in our Privacy Policy.

6. Subscription, Fees, and Payment
6.1 Fees
Certain features of the Services require payment of subscription fees. All fees are specified at the time of purchase.
6.2 Billing
Fees will be billed in advance and are non-refundable unless otherwise stated.
6.3 Taxes
You are responsible for paying all applicable taxes, including GST, if applicable.

7. Intellectual Property
All intellectual property rights in the Services, including software, design, trademarks, and content (excluding Customer Data) remain the exclusive property of Fluid AI.
You may not copy, modify, or create derivative works of the Services without our written consent.

8. Third-Party Services
The Services may integrate with third-party applications or platforms. Fluid AI is not responsible for third-party services, and your use of such services is subject to their respective terms.

9. Confidentiality
Both parties agree to treat confidential information shared by the other party as strictly confidential and not to disclose it to any third party except as required by law.

10. Service Availability and Support
Fluid AI will use commercially reasonable efforts to ensure service uptime and provide standard customer support. We do not guarantee uninterrupted access to the Services.

11. Term and Termination
11.1 Termination by You
You may terminate your Account at any time by providing written notice.
11.2 Termination by Us
We may suspend or terminate your access if:

• you violate these Terms;
• your payment is overdue;
• required by law.

11.3 Effect of Termination
Upon termination:

• your access to the Services will cease;
• you may request to export your Customer Data within 30 days;
• we may delete Customer Data after the retention period.

12. Disclaimers
The Services are provided on an "as-is" and "as-available" basis. Fluid AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for purpose, or non-infringement.

13. Limitation of Liability
To the fullest extent permitted by law:

• Fluid AI is not liable for any indirect, incidental, or consequential damages;
• Fluid AI's total liability for claims arising out of or relating to the Services shall not exceed the fees paid by you in the preceding 12 months.

14. Indemnification
You agree to indemnify and hold harmless Fluid AI from any claims, damages, or liabilities arising from your misuse of the Services or violation of these Terms.

15. Changes to Terms
We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.

16. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore.
Any disputes arising under these Terms will be resolved through negotiation in good faith. If unresolved, disputes will be submitted to the exclusive jurisdiction of the Singapore courts.
